These Terms of Use (the “Terms of Use”) apply to the Algotic.io web site located at www.algotic.io, and all associated sites linked to www.algotic.io by Algotic.io, its subsidiaries, and affiliates, including Algotic.io sites around the world (collectively, the “Site”). The Site is the property of ALGOTIC. BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Algotic.io reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. You may not use the Site or any Content for any plan that is unlawful or prohibited by these Terms of Use or to solicit the enforcement of any illegal activity or other activity that violates the rights of Algotic.io or others.

If notwithstanding the other preparations of these Terms of Use, Algotic.io is found to be liable to you for any damage or loss which arises out of or is in any way related with your use of the Site or any Content, Algotic.io’s liability shall in no event exceed the greater of (A) the total of any subscription or similar fees concerning any service or feature of or on the Site paid in the three months before the date of the original claim made against Algotic.io (but not including the purchase price for any Algotic.io software products or Services or similar support program), or (B) EUR, €100.00. Some jurisdictions do not allow limitations of liability, so the previous limitation may not apply to you.

Indemnity

You agree to indemnify and hold Algotic.io, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Algotic.io by any third party due to or arising out of or in connection with your use of the Site.

Violation of These Terms of Use

Algotic.io may reveal any information we have about you (including your identity) if we discover that such exposure is necessary for association with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or obstruction with (either deliberately or accidentally) Algotic.io’s rights or property, or the rights or property of visitors to or users of the Site, including Algotic.io’s customers. Algotic.io holds the right at all times to expose any information that Algotic.io deems important to comply with any relevant law, regulation, legal process or governmental request. Algotic.io also may reveal your information when Algotic.io discovers that applicable law requires or authorizes such exposure, including exchanging information with other organizations and businesses for fraud protection purposes.

You recognize and agree that Algotic.io may process any transmittal or communication by you with Algotic.io through the Site or any service offered on or through the Site, and may also publish such data if required to do so by law or Algotic.io decides that such preservation or disclosure is reasonably necessary to (A) comply with legal manner, (B) execute these Terms of Use, (C) answer to claims that any such data violates the rights of others, or (D) preserve the rights, property or personal safety of Algotic.io, its employees, users of or visitors to the Site, and the public.

You agree that Algotic.io may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Algotic.io, for which monetary damages would be inadequate, and you consent to Algotic.io obtaining any injunctive or equitable relief that Algotic.io deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Algotic.io may have at law or in equity.

You agree that Algotic.io may, in its sole discretion and without prior notice, cancel your access to the Site, for cause, which involves (but is not limited to) (A) demands by law enforcement or other government agencies, (B) a demand by you (account deletions), (C) discontinuance or material adjustment of the Site or any service offered on or through the Site, or (D) unexpected technical issues or difficulties.

If Algotic.io does take any legal action against you as a result of your violation of these Terms of Use, Algotic.io will be authorized to recover from you, and you consent to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other remedy granted to Algotic.io. You agree that Algotic.io will not be responsible to you or any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

Risk Disclosure

Algotic is not an investment advisory service, nor a registered investment advisor and does not purport to tell or suggest which commodities, securities or currencies customers should buy or sell for themselves. The employees or affiliates of the Company may hold positions in the commodities discussed here. You understand and acknowledge that there is a very high degree of risk involved in trading futures, options, securities, and/or currencies. The Company, the authors, the publisher, and all affiliates of Company assume no responsibility or liability for your trading and investment results. Factual statements on the Company’s website, or in its publications, are made as of the date stated and are subject to change without notice.

Risk Disclosure – Third Parties

Past performance does not guarantee future success. In some cases, managed accounts are charged with substantial commissions and advisory fees. Those accounts subject to these charges may need to make substantial trading profits just to avoid depletion of their assets.

Each broker/advisor (“CTA”) is required by the regulator to issue to prospective clients a risk disclosure document outlining these fees, conflicts of interest, and other associated risks. The full risk of commodity futures, options CFD’s, spread betting and forex trading cannot be addressed in this risk disclosure statement.

No consideration of investing should be made without thoroughly reading the disclosure document of each of the CTA’s/brokers in which you may have an interest.

• Algotic.io or client’s hardware or software failure, malfunction or misuse

• Design risks; errors in data, incorrect assumptions, logical program errors

• Unexpected market conditions

• Improper work of client’s equipment

• Wrong settings of client’s terminal

• Delayed updates of to client’s terminal

These events can cause the loss of all funds and holdings in your brokerage account. Algorithmic trading losses can occur faster than in manual trading and you should consult an investment professional to discuss these risks. You should continually monitor the operation of a live trading algorithm to ensure it is running properly. Every time you use our product you agree that in all cases, we bear no responsibility for losses incurred, and offers no guarantees or expectations of your algorithm performance or stability.

We will endeavor to make the software and any other systems available when required by you, but we cannot guarantee their continuous availability at all times for the following reasons, including but not limited to:

• Failures and/or errors, including technological nature such as failure with internet connectivity which may affect access to the software, which either you or we rely on

Applicable law

This Agreement shall be construed under and governed by the laws of the European Union, without regard to the principles of conflicts of law.

Changes to these terms

We may update these terms of services at our discretion from time to time by posting a new version on our Website. You should check our Website occasionally to ensure any changes made are suitable for you. If required by applicable law, you will be informed of any significant changes made to the terms of services.

Force Majeure

Author and its suppliers shall not be liable in any respect for failures to perform hereunder due wholly or substantially to the elements, acts of God, labor disputes, acts of terrorism, acts of civil or military authority, fires, floods, epidemics, quarantine restrictions, armed hostilities, riots and other unavoidable events beyond the control of the Author or its suppliers, and the time for performance of obligations hereunder by the Author or its suppliers subject to such event shall be extended for the duration of such event.
